Terms & Conditions

These Terms & Conditions govern your use of the Cohively platform, provided by Vulpo BV (Brusselsesteenweg 81, 9230 Wetteren, Belgium, company number 0749.617.582, VAT BE 0749.617.582). Cohively is offered to businesses only. By creating a workspace or using the service, you agree to these terms on behalf of your organisation.

1. Accounts and workspaces

You must provide accurate registration details and keep your credentials secure. You are responsible for activity under your account and for the users you invite. The person registering warrants that they are authorised to bind their organisation to these terms.

2. Subscriptions and billing

Paid plans are sold and billed through our payment provider, Paddle, which acts as the reseller and Merchant of Record for every purchase. This means your payment contract is with Paddle: Paddle appears on your statement, issues the invoice or receipt, and collects and remits any applicable VAT or sales tax. Your purchase is therefore also subject to Paddle’s Buyer Terms.

Fees, billing frequency and any free-trial terms are shown at checkout. Subscriptions renew automatically for successive periods unless cancelled before the renewal date; you can cancel at any time from your subscription settings. Except as set out in our Refund Policy and Paddle’s Buyer Terms, fees are non-refundable, and any refund that is due is issued by Paddle to your original payment method.

3. Acceptable use

You agree not to misuse the service, including by attempting to breach its security, access other customers’ data, reverse-engineer it, resell it without authorisation, or use it to store or transmit unlawful content. You must have a lawful basis for any personal data you enter about others and comply with data-protection law in your role as controller.

Because Cohively is sold through Paddle, your purchase and use must also comply with Paddle’s Acceptable Use Policy and applicable card-scheme rules. You may not use the service for any activity that policy prohibits — including fraudulent, deceptive or infringing use, or the sale of prohibited or restricted goods and services through it.

4. Your data

You retain all rights to the content and data you put into Cohively. You grant Vulpo BV the limited licence needed to host and process it to provide the service. Our handling of personal data is described in the Privacy Policy, which forms part of these terms and includes our role as your processor for workspace data.

5. Intellectual property

The Cohively platform, its software, design and trademarks are owned by Vulpo BV and its licensors. Nothing in these terms transfers those rights to you.

6. Availability and warranties

We work to keep the service available and secure but provide it “as is” and “as available”, without warranties beyond those that cannot be excluded by law. We do not warrant that the service will be uninterrupted or error-free.

7. Limitation of liability

To the fullest extent permitted by law, Vulpo BV is not liable for indirect or consequential losses, loss of profits, or loss of data, and our total liability arising from the service is limited to the fees you paid in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

8. Suspension and termination

You may stop using the service and cancel your subscription at any time. We may suspend or terminate access for material breach of these terms or non-payment. On termination, your right to use the service ends; we will handle your data as described in the Privacy Policy.

9. Changes

We may update these terms from time to time. Material changes will be communicated through the platform. Continued use after changes take effect constitutes acceptance.

10. Governing law

These terms are governed by the laws of Belgium, and disputes are subject to the exclusive jurisdiction of the courts of Belgium, without prejudice to mandatory law.
